Disse anbefalinger udgør - sammen med gældende ret og selskabets politikker â grundlaget for bestyrelsens og koncerndirek-tionens løbende overvejelser vedrørende sel-skabets praksis og procedurer. North Media A/S følger 38 af 40 anbefalinger fra Komitéen for god Selskabsledelse. To an-befalinger følges ikke, jf. nedenstÃ¥ende: ⢠I pkt. 3.4.2 anbefales, at flertallet af et ledel-sesudvalgs medlemmer er uafhængige. I det lovpligtige revisionsudvalg, i bæredygtig-hedsudvalget og i normerings- og vederlags-udvalget er flertallet af ledelsesudvalgets medlemmer uafhængige. I infrastrukturud-valg, juridisk udvalg og it-sikkerhedsudvalg er der ikke flertal af uafhængige medlem-mer. Bestyrelsen vurderer, at et bestyrelses-medlems kompetence og bidrag til disses udvalg er vigtigere, end hvorvidt medlem-met er uafhængigt. ⢠Anbefalingen i pkt. 4.1.5 om, at bestyrelsen ikke aflønnes med aktie- eller tegningsoptio-ner, følges ikke. Bestyrelsen vurderer, at det er til aktionærernes fordel, at bestyrelsen ogsÃ¥ har en økonomisk interesse i en lang-sigtet og voksende værdiskabelse i og af sel-skabet. Retten til at tildele bestyrelsen aktie-optioner er hjemlet i vederlagspolitikken, som er godkendt af generalforsamlingen. Sidste tranche i North Media A/Sâ aktieopti-onsprogram, som blev optjent frem til of-fentliggørelse af Ã¥rsregnskabet for 2022, ophører fire uger efter North Media A/Sâ of-fentliggørelse af Ã¥rsregnskabet for 2023. Aktiviteter og resultater i 2022 For North Media er det naturligt, at en virk-somhed, der er en del af det danske samfund, bidrager til den danske stat og en velfunge-rende offentlig sektor, i form af betaling af skatter og afgifter. North Media ser ansvarlig skat som et centralt omrÃ¥de af arbejdet med samfundsansvar og udøver sine skatte- og afgiftsdispositioner ef-ter principperne om âbest practiceâ og âgod skikâ pÃ¥ skatteomrÃ¥det. North Medias samlede skattebetaling fremgÃ¥r af separat side senere i dette afsnit. I 2020 var vi nr. 64 pÃ¥ listen over de danske selskaber der betaler mest i sel-skabsskat. I 2021 som er den seneste offentlig-gjorte liste var vi nummer 122. Vi vurderer, at vores arbejde med at screene og stille tydelige krav til vores leverandører, og senest vores implementering i 2021 af en whistleblower ordning, sikrer en minimal ri-siko for overtrædelse af menneskerettighe-der, antikorruption og bestikkelse. North Media har i Ã¥rets løb modtaget en en-kelt whistleblower anmeldelse, og efter en grundig gennemgang, er der ikke fundet grundlag for at gÃ¥ videre med sagen. </mrv:CorporateGovernanceReport>

Eller at North Media kan hjælpe med en digital nøgle til ejendommens aflÃ¥ste opgangsdør, nÃ¥r va-rer ønskes som hjemmelevering. North Media leverer løsninger til forbrugeren, som kan hjælpe ved de store valg som job og bolig ved at gøre valget enklere og mere transparent. SÃ¥ledes bidrager North Media til at skabe bedre rammer for danskernes hver-dag. Gennem North Medias aktiviteter inden for fo-kusomrÃ¥det "En tryggere hverdag" bidrages der ogsÃ¥ aktivt til at minimere risikoen for, at bolig- og jobsøgende oplever snyd eller diskri-mination i forbindelse med søgning af lejebo-lig og job pÃ¥ vores platforme. Impulskøb, der foretages i selve butikken, bli-ver oftere til âkøb og smid vækâ og resulterer i et større ressourcespild end planlagte indkøb. Dette er en anden afledt fordel ved, at forbru-geren pÃ¥ forhÃ¥nd kan orientere sig om vare-udbud, priser og indkøbssted ved at modtage og læse tilbuds- og lokalaviser. Handlinger og r<span xmlns="http://www.w3.org/1999/xhtml" class="_ _0"/>esultater i 202<span xmlns="http://www.w3.org/1999/xhtml" class="_ _0"/>2 FK<span xmlns="http://www.w3.org/1999/xhtml" class="ls0"> Distribution </span>FK Distribution har i 2022 forsat haft fokus pÃ¥ at levere en effektiv samdistribution af tilbuds- og lokalaviser, sÃ¥ forbrugerne kan planlægge deres indkøb og samtidig fÃ¥ adgang til lokalt nyhedsstof. I 2022 omdelte FK Distribution tilbudsaviser til 64% af de danske husstande og lokalaviser til 78%. FK Distribution oplevede en stabil udvik-ling i antallet af borgere, der valgte at tilmelde sig NejTak+ ordningen, der er sat i verden for at sikre, at danske forbrugere netop modta-ger de tryksager, de finder værdiskabende. I 2022 beskæftigede FK Distribution i gennem-snit pr. uge ca. 10.000 omdelere, primært unge mellem 13-17 Ã¥r. FK Distribution er den første arbejdsplads for en stor andel af danske unge. Selskabet beskæftiger samlet set 24% af alle unge mellem 13<span xmlns="http://www.w3.org/1999/xhtml" class="ff6">â</span>14 Ã¥r, som har et fritids-job. BoligPortal BoligPortal arbejder med løsninger, der skal sikre transparente forhold ved sÃ¥vel boligsøg-ning som ved ind- og udflytning. BoligPortal screener alle sine boligannoncer for snyd via automatiserede systemer og manuelle proce-durer. I 2022 har BoligPortal fortsat arbejdet fokuse-ret pÃ¥ at øge trygheden ved indgÃ¥else af leje-kontrakter, hvor virksomheden tilbyder digi-tale lejekontrakter og værktøjer til ind- og ud-flytningssyn. Via disse produkter bidrager Bo-ligPortal aktivt til at skabe rammerne for et miljø, hvor udlejere og lejere har et solidt juri-disk grundlag, og hvor risikoen for misforstÃ¥-elser eller snyd mindskes. I 2022 har North Media gennemført to trivselsunder-søgelser pÃ¥ det psykiske arbejdsmilj<span xmlns="http://www.w3.org/1999/xhtml" class="_ _1"/>øomrÃ¥de blandt alle medarbejdere. Hos FK Distribution, hvor et stort antal forskel-lige nationaliteter arbejder tæt sammen, læg-ger vi vægt pÃ¥, at alle kan forstÃ¥ og tale dansk, sÃ¥ alle kan deltage i de førte samtaler. FK Di-stribution tilbyder danskundervisning efter be-hov. Koncernen har udført en sundhedsscreening, hvor alle fuldtidsmedarbejdere er blevet til-budt at deltage i en undersøgelse af deres fysi-ske og mentale helbred. Sundhedsscreenin-gen har vist flotte resultater, og medarbejdere i North Media A/S er generelt bÃ¥de fysisk og mentalt sunde. Fremadrettet vil North Media bruge resulta-terne fra sundhedsscreeningen til at indfør<span xmlns="http://www.w3.org/1999/xhtml" class="ls21">e </span>en række initiativer, der skal gøre det nem-mere for medarbejdere at træffe sundere valg. MÃ¥lsætninger<span xmlns="http://www.w3.org/1999/xhtml" class="_ _0"/> f<span xmlns="http://www.w3.org/1999/xhtml" class="ls7b">ra</span> <span xmlns="http://www.w3.org/1999/xhtml" class="ls7c">2022</span> Opgaver: Fortsætte trivselsundersøgelser Nedbringe sygefravær Nedbringe arbejdsulykker Hvad har vi gjort? I North Media fortsatte vi med trivselsunder-søgelser. Sygefraværet blev i 2022 ikke nedbragt som forventet. Dette skyldtes primært, at der var langtidssygemeldinger relateret til fysiske ikke-arbejdsrelaterede skader. Det samlede gennemsnitlige sygefravær var 10,2 dage inkl. langtidssygemeldinger og 4,1 dage ekskl. lang-tidssygemeldinger<span xmlns="http://www.w3.org/1999/xhtml" class="ls1f">. </span>Stigningen i sygefraværet kan henføres til ekstraordinært mange ikke arbejdsrelaterede langtidssyge. Antallet af arbejdsulykker var 36 og uændret fra 2021, hvilket ikke var tilfredsstillende. Det var dog positivt, at videomaterialet vedrø-rende sikkerhed blandt omdelere har medført en reduktion i netop denne gruppe. Hovedpar-ten af de registrerede arbejdsulykker sker blandt FK Distributions gennemsnitligt ca. 10.000 omdelere og er typisk mindre faldska-der. For at nedbringe antallet yderligere har FK Distribution udviklet en række videokam-pagner mÃ¥lrettet omdelerne. De primære risici relateret til bekæmpelse af korruption og fremme af de internationale menneskerettigheder befinder sig i koncer-nens leverandørkæde, hvor vi har fokus pÃ¥ a<span xmlns="http://www.w3.org/1999/xhtml" class="lse">t </span>screene og stille tydelige krav til vores samar-bejdspartnere<span xmlns="http://www.w3.org/1999/xhtml" class="ls1f">. </span>Desuden har vi risici relateret til beskyttelse af vores kunders og forbrugeres persondata. I 2023 vil North Media øge fokus pÃ¥ arbejdet med ansvarlige indkøb og leverandørstyring, sÃ¥ der kun benyttes leverandører, der lever op til kravene om etisk og ansvarlig adfærd. Det er afgørende, at leverandørerne lever op til disse krav, og at vores indkøb reflekterer vores værdier. I North Medias nuværende indkøbsprincipper og fremtidige indkøbspolitik<span xmlns="http://www.w3.org/1999/xhtml" class="ls38">ker</span> vil vi i videst muligt omfang favorisere danske og andre de-mokratiske landes produkter og serviceydel-ser, og tilsvarende vil vi - hvor dette er muligt - fravælge produkter og serviceydelser fra dik-taturstater og stater, hvor statsmagten ikke li-gestiller kønnene, efterstræber mindretal og ikke hylder individets ret til selvbestemmelse. Dette uanset om denne politik mÃ¥tte medføre en meromkostning. For eksempel var vores indkøbsprincipper af-gørende for, at det var vesteuropæisk frem-stillede solceller og batterier, der blev købt til solcelleanlæggene i T<span xmlns="http://www.w3.org/1999/xhtml" class="ls56">aa</span>strup og Tilst til trods for en højere indkøbspris. Skatter og<span xmlns="http://www.w3.org/1999/xhtml" class="_ _0"/> afgifter North Media spiller en væsentlig rolle i det danske samfund, og kon-cernens aktiviteter medvirker til sÃ¥vel beskæftigelse, integration, samt oplæring af rigtig mange unge der fÃ¥r deres første job som omdeler i FK Distribution. Herudover bidrager koncernen gennem betaling af direkte og indirekte skatter og afgifter. âOrdentlighedâ er et bærende ord i vores skatt<span xmlns="http://www.w3.org/1999/xhtml" class="ff1">epolitik. Det betyder, </span>at vi til enhver tid betaler den skat, vi skal i henhold til gældende skattelove. North Medias koncernresultat resultere<span xmlns="http://www.w3.org/1999/xhtml" class="ls21">de</span> i en selskabsskat pÃ¥ -1 mio. kr. for 2022 pÃ¥ grund af kurstab pÃ¥ værdipapirbeholdnin-gen<span xmlns="http://www.w3.org/1999/xhtml" class="ls1f">. </span>Til trods herfor bidrager North Media koncernen væ<span xmlns="http://www.w3.org/1999/xhtml" class="_ _0"/>sentligt ved betaling af indirekte skatter som fx moms og andre afgifter for 152 mio. kr. Endelig har koncernens godt 400 medarbejdere og ca. 10.000 omdelere betalt ca. 1<span xmlns="http://www.w3.org/1999/xhtml" class="ls39">23</span> mio. kr. i personskat pÃ¥ den lønind-komst, de har optjent via jobbet hos North Media. De totale betalte direkte og indirekte skatter og afgifter for 2022 udgør sÃ¥ledes 274 mio. kr. (2021<span xmlns="http://www.w3.org/1999/xhtml" class="ls1f">: </span>354 mio. kr.). Til sammenligning fik aktionærerne et overskud pÃ¥ 2 mio. kr. (2021<span xmlns="http://www.w3.org/1999/xhtml" class="ls1f">: </span>274 mio. kr.) North Media koncernen har betalt knap 1 mia. kr. i direkte og indi-rekte skatter og afgifter de seneste 3 Ã¥r, mens overskuddet til akti-onærer<span xmlns="http://www.w3.org/1999/xhtml" class="ls44">ne</span> har udgjort knap 600 mio. kr. I forbindelse med udlodning af overskud til aktionærerne beskattes udbyttet hos modtagerne i forhold til de skatteregler, der gør sig gældende for modtageren, og som bestemmes af fx bopælsland, om aktierne ejes personligt, gennem et selskab eller en pensions-ordning. EUs Ta<span xmlns="http://www.w3.org/1999/xhtml" class="ls4">ks<span class="ls82">onom<span class="_ _0"/></span></span>iforordning EUâs Taksonomiforordning og den dertilhø-rende delegerede forordning (EU) 2021/2139 af 4. juni 2021 (Delegerede Forordning) har til formÃ¥l at skabe en fælles klassificering af<span xmlns="http://www.w3.org/1999/xhtml" class="ls38">, </span>hvornÃ¥r en omsætning, en kapitaludgift eller en driftsudgift skal karakteriseres som miljø-mæssig bæredygtig. Klassificeringen er centreret omkring seks mil-jømÃ¥l, hvoraf kun to mÃ¥l pÃ¥ nuværende tids-punkt er rapporteringspligtige. Det drejer sig om 1) afbødning af klimaændringer og 2) til-pasning af klimaændringer. North Media er omfattet af miljømÃ¥l 1, jf. nedenfor. Udover at være omfattet af miljømÃ¥lene er det et krav at man ikke væsentlig skader andre miljømÃ¥l, dvs. overholder DNSH kriterierne (hvis de giver mening for aktiviteten). Til det brug har EU udarbejdet tekniske screenings-kriterier som beskriver hvordan kravene skal efterleves. Endelig skal man <span xmlns="http://www.w3.org/1999/xhtml" class="ff6">overholde âmini-</span>mum social safeguardsâ foranstaltningerne.<span xmlns="http://www.w3.org/1999/xhtml" class="ff1"> </span> North Media rapporterer i sin 2022 Ã¥rsrapport for første gang om omsætning, kapitaludgif-ter og driftsudgifter, der er omfattet af regel-sættet. North Medias arbejde med klimatiltag er i sin start, ligesom lovgivningen er ny og Ã¥ben for fortolkning, og det er derfor sand-synligt, at niveauet af aktiviteter, der opfylder de tekniske screeningsaktiviteter i EU-takso-nomien, og dermed skal klassificeres som mil-jømæssig bæredygtig, vil ændre sig. Solcellepanelerne er valgt for deres kvalitet i form af høj holdbarhed og genanvendelighed. Beskyttelse og genopretning af biodiversitet og økosystemer er der ogsÃ¥ taget hensyn til, da der under solcellerne er sÃ¥et en mangfol-dighed af engblomster i stedet for græs, hvori ikke mindst insekter og fugle kan trives. Der-ved øges biodiversiteten betydeligt. Eksiste-rende træer og vandhuller er opretholdt. North Mediaâs politik for dataetik har til formÃ¥l at fastlægge North Mediakoncer-nens overordnede principper for etisk korrekt, ansvarlig og gennemsigtig bethandling af data overfor samarbejdspartnere, leverandører og tredjeparter. Politikken er tilgængelig pÃ¥ vo-res hjemmeside North Medias compliance organisation moni-torerer og rÃ¥dgiver koncernen om GDPR og dataetik, orienterer bestyrelsen om status og nye tiltag og udarbejder en Ã¥rlig rapportering til bestyrelsen om North Medias arbejde med dataetik. </mrv:StatementOfPolicyForDataEthics>

I 2022 har North Media fortsat aktivt benyttet medarbejder- og performanceundersøgelser til at identificere lederpotentiale blandt kon-cernens medarbejdere for at støtte talent-fulde medarbejdere i at søge en lederstilling. Ved besættelse af ledige bestyrelsespladser, lederstillinger eller øvrige stillinger er det et grundlæggende element, at alle kandidater uanset køn overvejes ligeligt. <arr:DescriptionOfQualificationsOfAuditedFinancialStatements contextRef="ctx-1" id="pp-value-833-1" xml:lang="da">Grundlag for konklusion Vi udførte vores revision i overensstemmelse med internationale standarder om revision (ISA) og de yderligere krav, der er gældende i Danmark. Vores ansvar ifølge disse standarder og krav er nærmere beskrevet i revisionspÃ¥-tegningens afsnit Revisors ansvar for revisio-nen af regnskabet. Det er vores opfattelse, at det opnÃ¥ede revisi-onsbevis er tilstrækkeligt og egnet som grundlag for vores konklusion. Uafhængighed Vi er uafhængige af koncernen i overensstem-melse med International Ethics Standards Board for Accountantsâ internationale ret-ningslinjer for revisorers etiske adfærd (IESBA Code) og de yderligere etiske krav, der er gæl-dende i Danmark, ligesom vi har opfyldt vores øvrige etiske forpligtelser i overensstemmelse med disse krav og IESBA Code. Efter vores bedste overbevisning er der ikke udført forbudte ikke-revisionsydelser som om-handlet i artikel 5, stk. 1, i forordning (EU) nr. 537/2014. Valg Vi blev første gang valgt som revisor for North Media A/S den 29. marts 2019 for regnskabs-Ã¥ret 2019. <arr:KeyAuditMattersAudit contextRef="ctx-1" id="pp-value-868-1" xml:lang="da">Centrale forhold ved revisionen Centrale forhold ved revisionen er de forhold, der efter vores faglige vurdering var mest be-tydelige ved vores revision af regnskabet for 2022. Disse forhold blev behandlet som led i vores revision af regnskabet som helhed og udformningen af vores konklusion herom. Vi afgiver ikke nogen særskilt konklusion om disse forhold. Centrale forhold ved revisionen Indregning af omsætning Omsætning fra koncernens fire seg-menter indregnes, når kontrollen af den enkelte leveringsforpligtelse over-går til kunden. Omsætningen måles til værdien af det aftalte vederlag. Om-sætningen består af indtægter fra pri-mært omdeling af tryksager og aviser, abonnementer, jobannoncer, reklame-omsætning, brugerafgifter samt salg af nøglesystemer. De forskellige omsætningstyper og den løbende indtægtsførsel er afhængig af komplekse it-systemer, integration herimellem og opsamling af data. Vi fokuserede på dette område, fordi fejl i datagrundlag, som danner basis for indregning af omsætning, udgør en risiko for fejl ved indregning af omsæt-ning. Se note 4 og 21 i koncernregnskabet. Hvordan vi har behandlet de centrale forhold ved revisionen Vi vurderede koncernens regnskabs-praksis, herunder om den er i over-ensstemmelse med IFRS 15. Vi udførte risikovurderingshandlin-ger med henblik på at opnå en for-ståelse af it-systemer, forretnings-gange og relevante kontroller vedrø-rende indregning af omsætning. For kontrollerne vurderede vi, om de var designet og implementeret til effek-tivt at adressere risikoen for væsent-lig fejlinformation. For udvalgte kon-troller, som vi planlagde at basere os på, testede vi, om de var udført på konsistent basis, herunder kontroller i it-systemer, controlling og verifika-tion af indtægtsførte transaktioner. Vi foretog dataanalyse blandt andet med henblik på identifikation og vur-dering af eventuelle atypiske poste-ringer vedrørende omsætningstrans-aktioner. Vi udførte substansrevision af om-sætningstransaktioner og betydelige kontrakter for vurdering af fore-komst og nøjagtighed samt korrekt tidspunkt for indregning af omsæt-ning. </arr:KeyAuditMattersAudit>

Høj grad af sikker-hed er et højt niveau af sikkerhed, men er ikke en garanti for, at en revision, der udføres i overensstemmelse med ISA og de yderligere krav, der er gældende i Danmark, altid vil af-dække væsentlig fejlinformation, når sådan findes. Fejlinformationer kan opstå som følge af besvigelser eller fejl og kan betragtes som væsentlige, hvis det med rimelighed kan for-ventes, at de enkeltvis eller samlet har indfly-delse på de økonomiske beslutninger, som brugerne træffer på grundlag af regnskabet. Som led i en revision, der udføres i overens-stemmelse med ISA og de yderligere krav, der er gældende i Danmark, foretager vi faglige vurderinger og opretholder professionel skep-sis under revisionen.
