The annual report has been prepared in accordance with International Financial Reporting Standards as adopted by the EU and additional disclosure requirements under the Danish Financial Statements Act. In our opinion, the consolidated financial statements and the parent company financial statements give a true and fair view of the groupâs and the parent companyâs assets, liabilities and financial position at 31 December 2022 and of the results of the groupâs and the parent companyâs operations and cash flows for the financial year ended 31 December 2022. <arr:KeyAuditMattersAudit contextRef="ctx1" id="fact1075" xml:lang="en">Key audit matters Key audit matters are those matters that, in our professional judge- ment, were of most significance in our audit of the financial state- ments for the financial year 2022. These matters were addressed during our audit of the financial statements as a whole and in forming our opinion thereon. We do not provide a separate opinion on these matters. For each matter below, our description of how our audit addressed the matter is provided in that context. We have fulfilled our responsibilities described in the "Auditor's responsibilities for the audit of the financial statements" section, including in relation to the key audit matters below. Accordingly, our audit included the design and performance of procedures to respond to our assessment of the risks of material misstatement of the finan- cial statements. The results of our audit procedures, including the procedures performed to address the matters below, provide the basis for our audit opinion on the financial statements. Impairment of non-current assets for the South American entities The determination of the recoverable amount of non-current assets in the cash-generating units in Brazil and Argentina is subject to a high degree of estimate and judgment performed by Management. The high degree of estimate and judgment relates to determining cash flow forecasts, growth rates and discount rates in the light of slowing economic growth, increasing interest rates and political instability in Brazil, as well as hyperinflation in Argentina. An impairment loss of DKK 77.6 million in Brazil has been recognised for non-current assets. Reference is made to note 17 âImpairment of non-current assetsâ in the consolidated financial statements. Due to the inherent uncertainty and high degree of estimate and judgment involved in determining the net present value of future cash flows in Brazil and Argentina, we considered these impairment tests to be a key audit matter. How our audit addressed the key audit matter As part of our audit procedures, among others, we: â¢Assessed whether the impairment tests are prepared on aconsistent basis and based on recognised methods; â¢Assessed whether Managementâs expectations regarding futurerevenue, earnings and investments applied in the calculation models, are in line with forecasts approved by the Board of Direc- tors and projections approved by Management; â¢Obtained insights into the expected business development andbusiness plans for the cash- generating units in Brazil and Argentina and thus the basis that has been used in determining the recover- able amounts; â¢Compared the earnings estimates applied in the calculation modelswith historical results; â¢Involved our internal valuation experts to test the fixed discountrate for Brazil and the determination of the dynamic discount rates and terminal growth rate applied in the impairment test for Argen- tina due to hyperinflation in Argentina; â¢Reperformed Managementâs sensitivity analysis used in the models;and â¢Assessed whether the disclosures are in accordance with therequirements of applicable accounting standards. Accounting for contingent liabilities arising from disputes of industrial product tax in Brazil Brødrene Hartmannâs Brazilian subsidiary Sanovo Greenpack Embal- ages Do Brasil Ltda. is disputing a claim raised by the Brazilian tax authorities regarding industrial products tax (IPI) for the period 2015 and 2016. The tax dispute could result in additional tax payments, including interest and penalties, that could have a material effect on Sanovo Greenpack Embalages Do Brasil Ltda.âs ability to operate as a going concern. Reference is made to note 28 âCollateral and contingent liabilitiesâ in the consolidated financial statements. The IPI tax rules are complex and significant judgment is therefore required by Management in determining the measurement and outcome of the contingent liabilities arising from the dispute. On this basis, we considered contingent liabilities arising from the IPI tax dispute to be a key audit matter. How our audit addressed the key audit matter As part of our audit procedures, among others, we: â¢Evaluated Managementâs assessment of the outcome of the IPI taxdispute; â¢Obtained and assessed correspondence with the Brazilian taxauthorities; â¢Evaluated the tax opinions and memorandums provided by third-party tax advisors; â¢Assessed the adequacy of disclosures related to the IPI tax uncer-tainty included in the notes to the consolidated financial statements.</arr:KeyAuditMattersAudit>

In connection with our audit of the financial statements, our respon- sibility is to read the Management's review and, in doing so, consider whether the Management's review is materially inconsistent with the financial statements or our knowledge obtained during the audit, or otherwise appears to be materially misstated. Management is responsible for preparing an annual report that complies with the ESEF Regulation.
